S Corporation Election for Limited Liability Corporations

Today many companies are incorporated as limited liability companies (“LLC”). The IRS does not recognize the LLC as a taxpayer classification for federal tax purposes. For tax purposes, by default, an LLC with one member is treated as a sole proprietorship and an LLC with more than one member is treated as a partnership, unless it elects otherwise.
